1. Order of Precedence & Executed Agreements

They do not constitute a unilateral binding offer to perform services. Formal architectural advisory, fractional CTO services, prototyping, or specialized masterclasses commence exclusively upon the mutual execution of a definitive written engagement letter or Statement of Work.
3. Advisory Engagements, Workshops & Statements of Work (SOW)
All structured advisory sessions, onsite architectural diagnostics, code audits, engineering prototypes, and technical masterclasses are delivered under discrete written agreements. Each engagement defines defined deliverables, milestone schedules, communication channels, and fee arrangements. Work is performed independently as a specialized principal software architect and advisory practice.
4. Intellectual Property & Pre-Existing Architecture Tooling
The allocation of proprietary rights and technology ownership is defined as follows:
- Client Specific Deliverables: Subject to the full payment of contracted fees, bespoke architectural roadmaps, custom proof-of-concept repositories, and written diagnostic reports generated exclusively for the client under an executed agreement transfer to the client according to the terms of that agreement.
- Pre-Existing Frameworks & General Knowledge: Ruchir Gupta and Proficed retain full, unencumbered ownership of pre-existing software engines, CoreX architectural frameworks, foundational libraries, proprietary benchmark suites, methodologies, and general software engineering know-how. Where applicable, clients receive a perpetual, non-exclusive license to utilize and execute any pre-existing components embedded within delivered solutions.
5. Confidentiality & Non-Disclosure
We respect the sensitivity of enterprise systems, security perimeters, and proprietary source repositories. While exploratory communications through web forms are treated with professional discretion, the disclosure of sensitive proprietary code, credentials, or architecture designs should occur exclusively under our standard bilateral Mutual Non-Disclosure Agreement (Mutual NDA).
6. Professional Disclaimers & Technical Evaluations
All commentary, technical articles, and preliminary guidance provided on this website are provided on an "AS IS" and "AS AVAILABLE" basis. While architectural reviews aim to adhere to rigorous enterprise standards, software environments depend on diverse infrastructure dependencies, third-party cloud providers, runtime configurations, and upstream dependencies. 7. Limitation of Liability
